2. What State Desk is

State Desk is a self-serve compliance-tracking service for companies that operate in more than one state. You enter your entities and the states where each does business. State Desk computes a filing calendar across the states you track: annual reports, statements of information, franchise tax deadlines, registered agent expiries, and foreign qualification renewals. It sends deadline reminders, keeps per-state filing checklists with links to the official state portals, and flags events (for example, a new remote hire or a new facility) that may create a fresh registration obligation. State Desk is monitoring, math, and reminders, provided on an "as is" basis with no warranty of any kind.

3. Not legal advice. We never file for you.

State Desk is not a law firm, is not your registered agent, and does not provide legal advice. No fiduciary, attorney-client, or agency relationship is created by your use of the service. Nothing on the site, in your calendar, in a checklist, in an alert, or in an obligation flag should be read as legal advice or as a determination that a filing is or is not required. We make no warranty of the accuracy or completeness of any deadline, fee, checklist, or alert: deadlines, fees, and rules change, and our records can be wrong or out of date even though every rule is versioned, dated, and sourced to the state portal we took it from. Alerts are informational only. You use the service at your own risk. You must confirm every deadline, fee, and filing requirement against the official state portal or with your registered agent or counsel before you rely on it. State Desk never prepares or files anything on your behalf. You are solely responsible for your compliance filings.

4. Plans

Prices are in US dollars and exclude any applicable sales tax. We may change prices for future billing terms; current subscribers are notified at least 30 days before a price change applies to their renewal.

5. Billing and cancellation

All plans are annual subscriptions billed in advance through our payment processor, Stripe. We do not store your card number; only Stripe processes your payment information. Plans renew automatically each year unless you cancel. We send a reminder email before each renewal so you can cancel in time. You may cancel at any time; you keep full access through the end of your current annual term and cancellation takes effect at that term's end, so you are not charged again. Refunds are governed by the Refund Policy. If a payment fails, we will retry it and notify you; continued failure may result in suspension of your account until payment is current.

6. Your data, your responsibilities, and acceptable use

You retain ownership of your entity data. You grant us a license to use it solely to operate the service for you (computing calendars, generating checklists, sending reminders). All rights in the State Desk rules dataset, the service, and the State Desk name and marks are owned by Altshuler Family Holdings, LLC; you receive only a limited license to use the service while your subscription is active.

7. How our data works, and its limits

Filing rules (deadlines, fees, penalty ladders, dissolution triggers) are compiled from official state portals and other public sources. Each rule carries its source and the date we recorded it, and changes are logged. We maintain the dataset with care, but states change rules without notice and our records can be wrong or stale. A wrong deadline in a compliance product is serious, which is exactly why the service is monitoring only: always confirm against the state portal or with your registered agent or counsel. We are not responsible for a missed filing, a late fee, or a dissolution.

8. Indemnification

You agree to indemnify and hold harmless Altshuler Family Holdings, LLC and its officers, members, and agents against claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the service, your breach of these terms, or your reliance on State Desk information without independent verification.

9. Disclaimers and liability

State Desk is provided "as is" without warranties of any kind, express or implied, including any implied warranties of merchantability or fitness for a particular purpose. We do not guarantee the accuracy, completeness, or timeliness of any deadline, fee, checklist, or alert, to the maximum extent permitted by law. To the maximum extent permitted by law, Altshuler Family Holdings, LLC is not liable for any missed filing, late fee, penalty, dissolution, or other business loss arising from your use of the service, nor for any indirect or consequential damages. This limitation applies even if we were advised of the possibility of such damages. Our total liability for any claim is limited to the fees you paid in the 12 months before the claim. Nothing in these terms limits liability where it cannot be limited by law.

10. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including state portal outages, changes in law, internet failures, or natural disasters.

11. Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

12. Changes

We may update these terms as the service evolves. Material changes will be posted here with a new date at least 30 days before they take effect. Continued use after changes take effect constitutes acceptance; if you do not agree, you may cancel and your cancellation will be honored per Section 5.

13. Severability, assignment, and entire agreement

If any provision of these terms is found unenforceable, the remaining provisions stay in effect. We may assign these terms in connection with a merger, acquisition, or sale of the business; you may not assign them without our consent. These terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and Altshuler Family Holdings, LLC regarding State Desk.
